PRQX Privacy Policy

We will collect any information, including but not limited to your name, organization name, email address, phone number, and mailing address, that you provide to us during the following interactions:

1. If you fill out a form online to request access, or
2. Contact us for information by email, phone, or other method; or
3. Request customer support; or
4. Otherwise, submit information through PRQX Services, the member portal, or email us
5. Any other usage

When using PRQX Services, we collect certain details of each transaction that are needed to create and/or manage your information to properly process those transactions on your behalf; details include, but are not limited to:

1. Sales information (e.g., event, venue, event date and time, quantity of tickets, section, row, seat numbers, sales price, etc.); or
2. Transaction date and time; or
3. For each such transaction you submit to us for processing, our Services may also collect and store authentication tokens, account credentials, the marketplace, and an order identification for auditing and billing.

Like most SaaS businesses, we collect certain information automatically when you visit or interact with Services to improve the overall quality of your online experience. This information we automatically collect can be personal or aggregate, and includes information about the computer or devices (including mobile devices or tablets) you use to access the Services. As described further below, we may collect and analyze information such as, but not limited to:

1. IP addresses, unique device identifiers, IMEI and TCP/IP address, and other information about your computer or device(s), browser types, browser language, operating system, and mobile device carrier information; or
2. Information related to how you interact with the Services, such as referring and exit web pages and URLs, platform type, the number of clicks, domain names, landing pages, pages and content viewed and the order of those pages, statistical information about use of the Services, the amount of time spent on particular pages, the date and time you used the Services, the frequency of your use of the Services, error logs, and other similar information; or
3. As described further below, we may use third-party analytics providers and technologies, including cookies and similar tools, to assist in collecting this information.

We also collect data about your use of PRQX Services through the use of Internet server logs, Third-Party behavioral analysis, Third-Party Web Analytic services, and other online tracking technologies, like cookies and/or tracking pixels.

1. A web server log is a file where website activity is stored.
2. A cookie is a small text file that is placed on your computer when you visit a website, which enables us to, but not limited to:
   1. Recognize your computer; or
   2. Store your preferences and settings; or
   3. Understand the web pages of the Services you have visited; or
   4. Enhance your user experience by delivering content and advertisements specific to your inferred interests; or
   5. Perform searches and analytics; and
   6. Assist with security administrative functions.
3. Third-party web analytics services, such as but not limited to Google Analytics, are used to collect and analyze the information discussed above to engage in auditing, research, or reporting. The information collected by various web analytics technologies will be disclosed to or collected directly by these service providers, who use the information to evaluate your use of the Services, including by noting the third-party website from which you arrive at our Site, analyzing usage trends, assisting with fraud prevention, and providing certain features to you.
4. Tracking pixels/web beacons are tiny electronic tags with a unique identifier embedded in websites, online ads, and/or email, and that are designed to provide usage information. We also may include web beacons in email messages, newsletters, and other electronic communications to determine whether the message has been opened and for other analytics and personalization. As we adopt additional technologies, we may also gather additional information through other methods.
5. Third-Party behavioral analysis is a tool that records specific events and usage to help us understand what and how PRQX Services are being used and how often they are being used, and helps us identify member usage friction while a member is using PRQX services to improve such experiences.

Please note that Most web browsers are set up to accept and manage cookies. You can adjust your cookie settings in your browser to disable existing cookies, automatically reject cookies, or notify you when a cookie is being placed on your browser. Depending on your browser, mobile device, and operating system, you may not be able to delete or block all cookies. If you use multiple browsers on your devices, you will need to manage your cookie settings on each browser separately. Please note that by disabling or rejecting cookies, some aspects of the Site may not function properly.

To prevent Google Analytics, specifically, from using your information for analytics, please see the Online Analytics and Tailored Advertising section below.

We may also collect information about you from third parties, including public sources, and marketers such as, but not limited to:

1. Mailing lists; or
2. Facebook; or
3. Instagram; or
4. LinkedIn; or
5. X (formerly Twitter); or
6. Other Social Media platforms

We may use the information we collect from and about you for the following purposes:

1. To create your member account, process transactions on your behalf, and facilitate your use of the Services; or
2. To send you information about your relationship or transactions with us, account alerts, or other essential updates or communications; or
3. To provide and improve the Services, including to develop new features or services, to take steps to secure the Services, and for technical and customer support; or
4. For marketing and advertising purposes, including to contact you with information or surveys that we believe may be of interest to you, both regarding our products and Services and those of third parties; or
5. To tailor content to you, such as to tailor the properties we contact you about based on our perception of your interest through your use of the Services; or
6. To process and respond to your inquiries or to request your feedback, or
7. For analytics, research, and reporting, including to synthesize and derive insights from your use of our Services; or
8. For internal administrative purposes, such as taking steps to secure the Services, or
9. To comply with the law and protect the safety, rights, property, or security of us, the Services, and the general public; or
10. To enforce our Terms of Service, including to investigate potential violations thereof; or
11. To combine your information that we collect from you and about you (including automatically collected information) with your information we obtain about you from our affiliates and/or non-affiliated third-parties, and use such combined information in accordance with this Privacy Policy; or
12. To aggregate and/or de-identify your information collected through the Services. Such aggregated and/or de-identified data may include, without limitations:
    1. Data derived from the listing and/or sale of our clients’ tickets via the Services, but which no longer identifies specific clients or any individual person (e.g., event name, date, venue, seat location, ticket price, date of sale, and retailer where the sale occurred); or
    2. We may use aggregated and/or de-identified data for any purpose, including, without limitation, for research and marketing purposes

We may share disclose your information collected from and about you for/to the following:

1. Service Providers.  We may disclose your information to third parties who perform services on our behalf, including, without limitation, marketing, market research, customer support, data storage, data analysis and processing, and legal services; or
2. Legal Compliance and Protection.  We may disclose your information if required to do so by law or on a good faith belief that such disclosure is permitted by this Policy or reasonably necessary or appropriate for any of the following reasons:
   1. To comply with legal process, or
   2. To enforce this Policy, or other contracts with you, including investigation of potential violations thereof; or
   3. To respond to your requests for customer service, or
   4. To protect the rights, property, or personal safety of PRQX, our agents and affiliates, our customers, and the public; or
   5. To exchange information with other companies and organizations for fraud protection, spam/malware prevention, and similar purposes; or
3. Consent.  We may disclose your information to any third parties based on your consent to do so; or
4. Business Transfers. As we continue to develop our business, we may buy, merge, or partner with other companies. In such transactions (including in contemplation of such transactions, e.g., due diligence), your information may be disclosed. If any of our assets are sold or transferred to a third-party, our customer information (including your information) would likely be one of the transferred business assets; or
5. Affiliated Companies. We may disclose your information with current or future affiliated companies; or
6. Advertising and Analytics. We may disclose or make available some of your information with advertising and analytics partners to serve advertisements on our behalf across the internet and to provide analytics services. These entities may use cookies and tracking technologies to allow us to, among other things, track and analyze data, determine the popularity of certain content, deliver advertising and content targeted to your interests, and better understand your online activity. 7. De-identified / Aggregated Data. We may disclose de-identified and/or aggregated data for any purpose to third parties, including advertisers, promotional partners, and/or others, without limitation

We may use third-party web analytics services on the Services, such as those of Google Analytics. These vendors use the sort of technology described in the “Information That is Automatically Collected” section above to help us analyze how users use the Services, including by noting the third-party website from which you arrive. The information collected by such technology will be disclosed to or collected directly by these vendors, who use the information to evaluate your use of the Services. We also may use Google Analytics for certain purposes related to advertising, as described in the following section. To prevent Google Analytics from using your information for web analytics, you may install the Google Analytics Opt-Out Browser Add-on.

We may allow third-party advertising networks to place cookies or other tracking technologies on your computer, mobile phone, or other device to collect information about your use of the Services in order to:

1. Inform, optimize, and serve marketing content based on past visits to our website and other online services, and
2. Report how our marketing content impressions and interactions with these marketing impressions are related to visits to our online services.

We may allow other unaffiliated parties (e.g., ad networks and ad servers such as Google Analytics) to serve tailored marketing to you and to access their own cookies or other tracking technologies on your computer, mobile phone, or other device you use to access the Services. Those parties that use these technologies may offer you a way to opt out of targeted advertising as described below. You may receive tailored advertising on your computer through a web browser. Cookies may be associated with de-identified data linked to or derived from data you voluntarily have submitted to us (e.g., your email address) that we may disclose to a vendor in hashed, non-human-readable form.

Please note that to the extent advertising technology is integrated into the Services, you may still receive advertising content even if you opt out of tailored advertising. In that case, the advertising content may not be tailored to your interests. Also, we do not control any of the above opt-out links and are not responsible for any choices you make using these mechanisms or the continued availability or accuracy of these mechanisms. If your browsers are configured to reject cookies when you visit these opt-out pages, or you subsequently erase your cookies, or use a different computer or change web browsers, your opt-out may no longer be effective.

We offer you certain choices regarding the collection, use, and disclosure of information about you.

1. Profile information. If you have registered for an account with us through our Services, you can update certain information by logging into your account and updating your account information and communications settings.
2. Marketing communications. You can unsubscribe from marketing emails by following the directions in those emails. Please note that if you unsubscribe from marketing emails, we may still send you administrative emails regarding the Services, including, for example, notices of updates to our Terms of Service or this Policy.
3. Cookies and analytics. You can opt out of certain cookie-related and analytics processing by following the instructions in this Policy.
4. Rights to information about you. Your local law may provide you with certain rights with respect to your information. Depending on your jurisdiction, you may request that we:
   1. Provide you with information about the categories of personal information we collect or disclose about you; the categories of sources of such information; the business or commercial purpose for collecting such information; and the categories of unaffiliated parties to whom we disclose such personal information. Such information is also set forth in this Policy.
   2. Provide access to and/or a copy of certain information we hold about you;
   3. Prevent the processing of your information for direct-marketing purposes (including any direct marketing processing based on profiling);
   4. Update information that is out of date or incorrect.
   5. Delete certain information that we are holding about you;
   6. Restrict the way that we process and disclose certain information about you;
   7. Transfer your information to a third-party provider of services.
   8. Opt you out of the processing of your personal information for purposes of profiling in furtherance of decisions that produce legal or similarly significant effects, if applicable; and
   9. Revoke your consent for the processing of your information.
5. Your Agent. You can designate an authorized agent to make requests on your behalf after assigning a power of attorney. We may follow up with you to verify your identity before processing the authorized agent’s request as permitted by applicable law.

Our systems are currently based in the United States, and your information will be processed in the United States, which may not offer the same level of protection as the privacy laws of your jurisdiction. For example, data may be accessible to law enforcement and national security authorities under certain circumstances. As explained herein, we may also subcontract the processing of your data to, or otherwise disclose your data to service providers, and trusted business partners in countries other than your country of residence, including the United States, in accordance with applicable law. Such third parties may be engaged in, among other things, the provision of Services to you, the processing of transactions and/or the provision of support services. By providing us with your information, you acknowledge any such transfer, storage, or use.

We have implemented administrative, technical, and physical security measures to protect against the loss, misuse, and/or alteration of your information. These safeguards vary based on the sensitivity of the information that we collect and store. However, we cannot and do not guarantee that these measures will prevent every unauthorized attempt to access, use, or disclose your information, since, despite our efforts, no Internet and/or other electronic transmissions can be completely secure.

The Services may contain links to third-party websites, applications, and other services that are not controlled or operated by PRQX. This Policy does not apply to such third parties, and PRQX is not responsible for the privacy practices of the third parties. For that reason, PRQX encourages you to request and review the privacy policies applicable to any third party before you disclose information to those third parties.
